Acceptance of terms

These Terms of Service govern your use of Stratford IQ (the "Service") operated by AVASOFT INNOVATION LTD. Registered in England and Wales No. 16368580. ("we", "us"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you must discontinue all use of the Service.

Licence grant & restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. You may not:

  • Resell, redistribute, sublicence, or make the Service available to third parties.
  • Systematically download, scrape, or bulk-export data from the Service.
  • Use outputs to build a competing product or service.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Remove or obscure proprietary notices or branding.

Acceptable use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including UK GDPR and the Privacy and Electronic Communications Regulations (PECR). You must not use the Service to:

  • Engage in harassment, defamation, or any unlawful activity.
  • Send unsolicited marketing communications without a lawful basis.
  • Infringe the intellectual property or privacy rights of others.
  • Interfere with or disrupt the integrity or performance of the Service.

Customer compliance & warranties

You represent and warrant that:

  • You have a lawful basis under UK GDPR for your intended use of any personal data accessed via the Service.
  • Any direct marketing activities using contact data obtained from the Service will comply with PECR, including soft opt-in rules and suppression list requirements.
  • You are solely responsible for how you use, share, or act upon information obtained from the Service.

Marketing & lead generation compliance

If you use the Service to support marketing or lead generation activities, you must:

  • Maintain and honour suppression lists, including the Corporate Telephone Preference Service (CTPS) and any internal opt-out registers.
  • Honour opt-out requests promptly and ensure recipients can easily unsubscribe.
  • Comply with PECR soft opt-in rules where applicable to electronic marketing.
  • Independently verify data accuracy before relying on it for outreach campaigns.

Subscriptions & billing

Certain features are available on a paid subscription basis. Fees are billed in advance on the schedule presented during checkout (monthly, annually, or one-time). Subscriptions renew automatically until cancelled through your account or by contacting support. You authorise Stratford IQ to charge approved payment methods for all fees incurred. Failed payments may require manual settlement within a specified deadline.

We may adjust pricing with reasonable notice. Continued use after new fees take effect constitutes agreement to the revised pricing.

Refunds

You have the right to cancel your subscription without providing a reason for a full refund within 14 days from completion of your initial subscription payment. Beyond 14 days, certain refund requests for Subscriptions may be considered by Stratford IQ on a case-by-case basis and granted in sole discretion of Stratford IQ.

Accounts & security

You must provide accurate, current information when creating an account and maintain the confidentiality of your credentials. You are responsible for all activity under your account and must notify us immediately of any unauthorised access.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that: (a) becomes publicly available through no fault of the receiving party; (b) was independently developed without use of confidential information; (c) was lawfully received from a third party; or (d) is required to be disclosed by law or court order.

Intellectual property

The Service, including all original content, features, and functionality, is the exclusive property of AVASOFT INNOVATION LTD. Registered in England and Wales No. 16368580. and its licensors. Our trademarks may not be used without prior written permission.

Links to third parties

The Service may contain links to third-party websites or services. We are not responsible for their content, privacy policies, or practices. Use of third-party services is at your own risk.

Indemnity

You agree to indemnify, defend, and hold harmless AVASOFT INNOVATION LTD. Registered in England and Wales No. 16368580. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your unlawful use of the Service; (c) your violation of PECR, UK GDPR, or other applicable law; or (d) any third-party claim resulting from your use of data obtained from the Service.

Termination

We may suspend or terminate access immediately for any breach of these Terms. You may terminate at any time by discontinuing use of the Service. Upon termination, all rights granted to you cease immediately.

Limitation of liability

To the maximum extent permitted by law, AVASOFT INNOVATION LTD. Registered in England and Wales No. 16368580. and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the fees paid by you to us in the one (1) month immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We do not guarantee uninterrupted access, error correction, suitability for your intended use, or the factual correctness of any content, reports, ratings, heatmaps, alerts, or other intelligence derived from public or third-party sources. You acknowledge that all outputs are informational only and may include subjective analysis, automatic inference, or modelling assumptions.

Information sources & subjects

Stratford IQ aggregates data about UK companies and associated individuals (including directors, officers, PSCs, and public contacts) from public registers, licensed datasets, and lawful web crawls. The inclusion of an entity or individual reflects information already available in the public domain. Any enrichment, scoring, or intelligence provided by the Service represents our opinion or automated interpretation of that information and does not constitute an assertion of fact. You agree not to rely on the Service as the sole basis for compliance, credit, investment, or hiring decisions and to obtain independent verification where accuracy is critical.

Data processing agreement

Where you upload or provide personal data for processing by the Service (such as contact lists for data cleansing), our Data Processing Agreement applies and forms part of these Terms. In the event of conflict between these Terms and the Data Processing Agreement, the Data Processing Agreement shall prevail with respect to data protection matters.

Governing law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales. Our failure to enforce any right does not constitute a waiver.

Privacy & cookies

Use of the Service is subject to our Privacy Policy. Continued use confirms acceptance of that policy.

Changes to these terms

We may update these Terms from time to time. Material changes will be communicated with reasonable notice. Your continued use of the Service after the effective date of revised Terms constitutes acceptance.
